This transaction was far more than a simple sale. Our team provided:
- Comprehensive legal and commercial advisory from the earliest stages, including structuring the transaction and seller-side strategy
- Drafting and negotiating all key sale and delivery documents, including the MOA (Memorandum of Agreement), Addendums to the MOA, Bills of Sale, Protocol of Delivery and Acceptance, and ancillary agreements
- Compilation and preparation of over 150 critical documents, including corporate, transactional, technical, marine, insurance, and flag-related materials, required for successful closing
- Ongoing review and coordination of legal, operational, and technical matters, ensuring alignment between the seller, buyer, brokers, captains, and technical teams
- Continuous oversight of regulatory, flag, and delivery requirements, including VAT considerations and international delivery logistics
- Hands-on support up to and including the execution of the Protocol of Delivery on board at international waters, ensuring a smooth and secure transition of ownership
- Monitoring and coordination all aspects of the transaction leading to a successful closing and delivery of the yacht to the Buyers, including finalisation of the Protocol of Delivery and Acceptance and liaison with all involved parties
Throughout the M/Y LS project, we worked closely and tirelessly across multiple jurisdictions, managing cross-border complexity, timing challenges, banking challenges, and high-stakes negotiations.
